Payment terms

Billing, subscription, usage, renewal, cancellation and refund rules.

These Payment Terms apply to paid Vexvon services and supplement the Terms of Service and any signed order form, invoice or customer agreement. Where a signed commercial agreement expressly differs from these Payment Terms, the signed agreement controls.

1. Pricing models

Vexvon may offer prepaid monthly packages, fixed-fee services, recurring subscriptions, annual subscriptions, usage-based services, trials, credits, add-ons or individually negotiated enterprise plans.

2. Subscription fees

Where a plan is sold as a recurring subscription, the Customer authorizes Vexvon or its payment provider to charge the applicable recurring fee at the beginning of each billing cycle until the subscription is cancelled or terminated.

Subscription duration, included allowances, billing frequency and price are shown at checkout, in the dashboard, on an order form or invoice.

3. Prepaid and invoice-based services

Vexvon may require payment in advance before activation or renewal. For invoice-based customers, payment is due by the date shown on the invoice. Services may begin only after cleared payment where the applicable order requires prepayment.

4. Usage-based charges

Some services are metered. Charges may be based on AI voice minutes, call duration, messages, telephone numbers, concurrent calls, telecommunication or carrier usage, transcription, premium AI features, storage, integrations or other measured consumption.

Usage charges may be billed in arrears, deducted from prepaid credit, or added to the next invoice depending on the applicable plan.

5. Third-party telecommunication charges

Telephone numbers, SIP trunks, PSTN calls, SMS or other telecommunications services may involve third-party carrier fees. Such fees may vary by destination, origin, number type, carrier, regulation and market conditions. Unless expressly included in a plan, applicable carrier or provider charges may be passed through to the Customer.

6. Taxes

Prices are exclusive of taxes, duties, withholding, levies or similar governmental charges unless expressly stated otherwise. The Customer is responsible for applicable taxes except taxes imposed on Vexvon's net income. Vexvon may collect tax where required by law.

7. Automatic renewal

Recurring subscriptions renew automatically for successive billing periods unless cancelled before the next renewal date. This automatic-renewal rule applies only to products expressly identified as recurring subscriptions.

A prepaid package or manually invoiced service does not automatically renew unless the order, checkout or invoice expressly states otherwise.

8. Cancellation

A Customer may cancel a recurring subscription through available account controls or by contacting Vexvon. Unless otherwise stated, cancellation stops future renewals and the Customer may continue using the paid service until the end of the current paid billing period.

9. Refunds and credits

Except where required by law, stated in a signed agreement, or expressly offered for a particular product, fees already paid are non-refundable once the relevant paid service period has started.

Vexvon may provide a service credit, extension or proportional refund where Vexvon fails to activate or provide a paid service in circumstances for which Vexvon is responsible and the applicable contract or law provides such a remedy.

Unused usage allowances normally expire at the end of the applicable validity period unless the plan or signed agreement provides rollover or compensation.

10. Trials and promotional credits

Trials, promotional balances and credits may have separate eligibility, duration and usage limits. Unless stated otherwise, promotional credits have no cash value, are non-transferable and may expire.

11. Failed and late payments

If a payment fails or becomes overdue, Vexvon may retry the payment method, request another payment method, restrict paid features or suspend the service after reasonable notice. Immediate restriction may be applied where necessary to prevent fraud, abuse or excessive unpaid third-party usage.

12. Plan changes

Upgrades may take effect immediately and may result in a prorated or immediate additional charge. Downgrades normally take effect at the next billing cycle unless otherwise stated. Usage already incurred remains payable.

13. Price changes

Vexvon may change prices prospectively. For recurring subscriptions, material price changes will apply no earlier than a future renewal period after reasonable notice, unless a change is required immediately by law, tax, carrier pricing or a third-party service on which the relevant feature depends.

14. Billing disputes

Customers should notify Vexvon promptly of a billing concern and provide sufficient detail for investigation. Undisputed amounts remain payable while a good-faith dispute is reviewed.

15. Currency and conversion

The billing currency is the currency shown at checkout, on the order form or invoice. Banks, card networks or payment providers may apply their own foreign-exchange rates or fees, which are outside Vexvon's control.

16. Termination and outstanding amounts

Cancellation or termination does not cancel charges already incurred. Usage, carrier fees, taxes and other amounts accrued before the effective termination date remain payable.
